Web 3 Wallet Services — Terms of Service

These Terms of Service ("Terms") set out the terms and conditions for you to be able to set-up and use Web3 Wallet. These Terms constitute a legally binding agreement between you and [Vavo Web3 Ltd], a company with its registered address at Park Place, 55 Par-la-Ville, Hamilton HM 11, Bermuda, as the service provider (“Vavo”, “we”, “us”, “our”). By accessing or using the Web3 Wallet Services (Services- as defined below), you confirm that you have read, understood and agree to be bound by these Terms in their entirety. 

1.  DEFINITIONS

The following capitalised terms have the meanings set out below when used in these Terms


Affiliate

Any person or entity that controls, is controlled by or is under common control with Vavo. For this purpose, “control” means the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of a person or entity, whether through the ownership of voting shares, by contract or otherwise. 

Applicable Law

Any law, regulation, rule, directive, order, decree, guidance or binding requirement of any governmental or regulatory authority applicable to you or to Vavo in any relevant jurisdiction.

Bitvavo App

means the mobile application owned and operated by Bitvavo B.V., used as a means to access Web3 Wallet user interface

Blockchain

A distributed ledger or similar decentralised network on which Crypto-Assets are recorded and transferred.

Crypto-Asset

Any digital representation of value or rights that is capable of being transferred and stored electronically using distributed ledger technology, including but not limited to tokens and coins.

dApp

A decentralised application deployed on a Blockchain and operated by a third party, including without limitation Decentralised Exchanges.

Decentralised Exchange (DEX)

A peer-to-peer trading protocol operating through smart contracts on a Blockchain through which Users may swap or conclude transactions in Crypto-Assets without transferring custody to an intermediary.

Gas Fees

Network transaction fees payable to validators or miners on a Blockchain in order to process and confirm a transaction. Gas Fees are set by the relevant Blockchain network and are not charged by Vavo.

Private Key

A cryptographic secret key that controls access to, and authorises transactions from, a specific wallet address on a Blockchain.

Private Key Shard

A cryptographic key shard that forms part of a private key. It is used together with other key shards to sign transactions from a specific wallet address on a blockchain.

Self-Custody Wallet Services (Services)

The Wallet and all related features and services made available by Vavo including access to DEX integrations, as described in Section 2.

Smart Contract

Self-executing code deployed on a Blockchain that automatically executes the terms of an agreement encoded therein.

Third-Party Service

Any dApp, DEX, decentralised protocol, smart contract, website, application or other service operated by a third party that is accessible through or linked from the Wallet including DEX aggregator services.

Transaction

Any transaction in Crypto-Assets including transfers of Crypto-Assets and DEX swaps, or other transactions in Crypto-Assets that are instructed and broadcast by you to a Blockchain through the Wallet.

User / you / your

Any natural person who downloads, installs, accesses or uses the Wallet.

Web-3 Wallet (Wallet)

The self-custody, non-custodial digital wallet software application operated by Vavo through which Users may manage Crypto-Assets and access the Services.



2.  WEB3 WALLET SERVICES (THE SERVICES)

2.1  Wallet 

The Wallet is a self-custody wallet that provides a user interface enabling you to:

  • receive, hold, send your Crypto- Assets;

  • generate and manage one or more Blockchain wallet addresses;

  • view balances, transaction history and market data for supported Crypto-Assets;

  • sign and broadcast Transactions to supported Blockchains;

  • access Third-Party Services, including DEXs, through an in-app browser or integrated interfaces, to enable you to execute Transactions in Crypto-Assets; and

  • make use of other functionalities as may be added to Wallet by Vavo from time to time.


The Wallet enables you to initiate, validate and execute Crypto‑Asset transfers on distributed ledger networks. The Wallet enables you to effect transfers of Crypto‑Assets between blockchain addresses.


The Wallet does not establish any custody, brokerage, agency, fiduciary or similar relationship between you and Vavo or any of its Affiliates.


While Smart Contracts operated by third parties execute the transaction, the Wallet enables you to do cryptographic authorisation and network submission, which directly result in the transfer of Crypto‑Assets between the parties’ blockchain addresses.


2.2  DEX swap functionality

The Wallet also provides a user interface that allows you to connect to and interact with third-party Decentralised Exchanges. When you initiate a swap, your Transaction is executed by the relevant DEX's Smart Contracts on the applicable Blockchain. Vavo:

  • does not operate, own or control any aggregator, DEX or Smart Contracts;

  • does not take custody of your Crypto-Assets at any point during a swap;

  • does not guarantee the execution, pricing or settlement of any swap;

  • does not act as counterparty, agent or broker in any swap; and

  • may aggregate liquidity data from third-party sources for display purposes only, which does not constitute the provision of best execution or any form of investment service.

You acknowledge that DEX protocols may charge protocol fees, which are separate from Gas Fees and are not charged by Vavo.

2.3  Assets and networks

Vavo may add or remove support for particular Crypto-Assets or Blockchain networks at any time at its sole discretion, without notice. 

Unsupported Crypto-Assets sent to a wallet address managed through the Wallet may be permanently inaccessible. Vavo is not liable for any loss arising from the use of an unsupported asset or network.

In rare cases, certain Crypto-Assets may qualify as regulated financial instruments. Vavo does not support, endorse, or provide advice or services regarding these assets. Users are strictly prohibited from trading, transferring and holding these Crypto-Assets or interacting with any underlying third-party DEXs or Smart Contracts that support them.

2.4. Nature of the Services 

2.4.1 Self-Custody Wallet 

The Wallet is non-custodial software. At no point does Vavo receive, hold, control, transfer or safekeep any Crypto-Assets or Private Keys on behalf of any User. The Wallet is not a deposit account or a custodial account, User does not benefit from any account or deposit guarantee scheme.

2.4.2  No Advice or regulated service

The Services provided by Vavo are not regulated under Regulation (EU) 2023/1114 on Markets in Crypto-Assets ("MiCAR"). Hence you are not accorded protections under MiCAR. Neither Vavo nor any of its Affiliates advises on, solicits,  executes, intermediates, brokers, administers or guarantees any Transaction. All Transactions are initiated, signed and broadcast solely by you. Neither Vavo nor any of its Affiliates have any responsibility with respect to any of the Transactions. Vavo does not have control or oversight over the Blockchain or Smart Contracts or Transactions. Neither Vavo or nor any of its Affiliates is a party to or involved in a Transaction, or assumes any responsibility for pricing, partial completion or non-completion or timely completion of any of the Transactions; or completion of any Transactions under terms less favourable to the User; or any errors or inaccuracies in the Transactions; or performance of or delivery/settlement under any of the Transactions.  

Nothing in these Terms or in the Wallet constitutes crypto-asset service, investment service; or financial, tax or legal advice. Any information, data, rates or estimates displayed in the Wallet are provided for informational and convenience purposes only. You are solely responsible for making your own independent assessment of any Transaction and for complying with all tax and other legal obligations arising from your use of the Services and Transactions in Crypto-Assets.

2.4.3  Other Regulatory Matters

You will access the Wallet through an interface in the Bitvavo App. The Bitvavo App is the mobile application owned and operated by Bitvavo B.V., which is an Affiliate of Vavo. Bitvavo B.V. is not the operator of the Wallet or any DEXs. Neither Vavo nor any of its Affiliates issues, offers to the public or seeks admission to trading of any Crypto-Asset. The Crypto-Assets are not admitted to trading by Vavo or its Affiliates. Vavo does not assess suitability of the Crypto Assets for listing, does not assess whether the Crypto-Assets are compatible with MiCAR requirements.


3. THIRD PARTY SERVICES

3.1  General

The Wallet provides access to Third-Party Services, including DEXs, DEX aggregators, as a convenience. Vavo does not operate, own, control, endorse, verify, approve or monitor any Third-Party Service or its operators, content, Smart Contracts, security practices or terms.

3.2  No endorsement or liability

Your use of any Third-Party Service is entirely at your own risk. Vavo is not responsible for:

  • the accuracy, completeness or fitness for purpose of any information provided by a Third-Party Service provider;

  • the security, liquidity, solvency or continued operation of any Third-Party Service;

  • losses arising from Smart Contract vulnerabilities, hacks, exploits, rug pulls, impermanent loss or any other risk inherent in decentralised protocols;

  • transaction failures, delays or executions at unfavourable prices due to slippage, low liquidity, gas price spikes or network congestion; or

  • the insolvency, discontinuation, suspension or regulatory action affecting any Third-Party Service.

Neither Vavo nor its Affiliates makes any representation or give any warranty in respect of Third Party Services including their performance, availability, security, integrity, code quality, regulatory status, legitimacy. Neither Vavo nor any of its Affiliates have any responsibility with respect to the Third Party- Services.

3.3  Separate terms

Your use of any Third-Party Service may be subject to that provider's own terms and conditions, privacy policy and applicable fees. You are responsible for reviewing and complying with those terms. Vavo is not a party to any agreement between you and a Third-Party Service provider, where applicable.

Providers of Third Party Services are not party to these Terms. These Terms do not confer any rights in any intellectual property of third parties. Providers of aggregator services do not advise on, solicit, execute, intermediate, broker, administer or guarantee any Transaction and they do not warrant the availability, reliability, and operability of third party decentralised protocols.

3.4  Open-source protocols

Many DEX protocols are based on open-source Smart Contracts not owned or controlled by Vavo. Vavo makes no representation as to the security, auditability or correctness of any such Smart Contract code.

4.  ELIGIBILITY AND ACCESS TO THE WALLET 

4.1 Opening the Wallet or using the Services is restricted to individuals or legal entities (represented by an authorized individual) who are residents or established in the European Economic Area. By opening and using the Wallet, the User declares that it meets this requirement. On an exceptional basis, where allowed from a regulatory perspective, Vavo can onboard persons residing in a SEPA country.

4.2 User represents that it is not a U.S. Person within the meaning of these Terms User indemnifies Vavo and its Affiliates against any damages that Vavo or its Affiliates incur if this representation is not correct. For the purposes of these Terms, US Person means a United States citizen or resident individual, a partnership or corporation organized in the United States or under the laws of the United States or any State thereof, a trust if (i) a court within the United States would have authority under applicable law to render orders or judgments concerning substantially all issues regarding administration of the trust, and (ii) one or more U.S. persons have the authority to control all substantial decisions of the trust, or an estate of a decedent that is a citizen or resident of the United States, a branch or an agency of a foreign entity which is located in the U.S, or any non-discretionary or similar account (other than an estate or trust) held by a dealer or other fiduciary for the account or benefit of a U.S person, or any discretionary account or similar account (other than an estate or trust) held by a dealer or other fiduciary organized, incorporated, or (if an individual) resident in the United States.

4.3 User must have full legal capacity to accept these Terms to use the Services and to enter into a Transaction. If User is a natural person, he or she must be at least 18 years old.

4.4 If User is a legal entity, the Wallet may only be used by a person that has been solely authorized to represent the legal entity. It is the responsibility of such User to limit access to the Wallet to authorized persons only.

4.5 User shall provide Vavo or its Affiliates with current, accurate and complete information during the registration and verification process. Additionally, Users shall keep Vavo updated if any of the provided information changes.

4.6 User may create and use only one Wallet.

4.7. User must be acting only on its own behalf. User is not allowed to transfer a Wallet to any other person or entity or to allow any other person or entity to make use of the Wallet of the User, regardless of whether such use is on User's behalf, unless Vavo has granted its prior written permission to do so. 

4.8. Vavo may refuse allowing a User to create a Wallet for any reason or without any reason.

5.  PRIVATE KEYS AND PRIVATE KEY SHARD

5.1  Exclusive User control

The Wallet is non-custodial. Vavo does not generate, store, receive, transmit, access or have any knowledge of your Private Key. You are solely and exclusively responsible for:

  • generating and securely storing your Private Key Shard;

  • maintaining the security of any device on which the Wallet is accessed;

  • all Transactions broadcast using your Private Key; and

  • any consequences of losing, disclosing or compromising your Private Key or Private Key Shard.

5.2  Irrecoverability

IF YOU LOSE YOUR PRIVATE KEY OR PRIVATE KEY SHARD, VAVO MAY NOT BE ABLE TO RECOVER YOUR CRYPTO-ASSETS. YOU MAY PERMANENTLY AND IRRETRIEVABLY LOSE ACCESS TO ALL CRYPTO-ASSETS ASSOCIATED WITH THAT WALLET ADDRESS.

5.3  Third-party compromise

IF A THIRD PARTY OBTAINS ACCESS TO YOUR PRIVATE KEY, PRIVATE KEY SHARD OR DEVICE, THAT PARTY MAY TRANSFER YOUR CRYPTO-ASSETS WITHOUT YOUR AUTHORISATION. VAVO IS NOT RESPONSIBLE FOR ANY SUCH LOSS.

You should immediately move any Crypto-Assets to a new, uncompromised wallet if you believe your Private Key or Private Key Shard has been compromised.

5.4  Irreversibility of Transactions

Transactions broadcast to a Blockchain are irreversible once confirmed by the network. Vavo has no ability to reverse, cancel or modify any Transaction after it has been broadcast. You are solely responsible for verifying all Transaction details — including recipient addresses, networks and amounts — before authorising any Transaction.

5.5. Export of Private Keys

In order to access Crypto-Assets which are held in self-custody in the Wallet through means other than the Wallet, Users shall export their Private Keys. 

6.  FEES & TAXES

6.1  Web3 Wallet fees

Vavo may charge a fee for the Services.

6.2  Gas Fees

All Transactions require Gas Fees payable to the relevant Blockchain network. Gas Fees are set by the network and fluctuate based on demand and network congestion. Gas Fees are entirely outside Vavo’s control and are not charged by Vavo. You are solely responsible for ensuring you have sufficient funds to cover Gas Fees for any Transaction you initiate.

6.3  Third-party fees

Third-Party Services, including DEXs and aggregators, may charge their own fees (including protocol fees, swap fees and payment processing fees). Vavo is not responsible for any third-party fee, and any fee information displayed in the Wallet interface is provided for convenience only and may not be complete or accurate.

6.4. Other

6.4.1. Taxes

Users are responsible to determine whether, and to what extent, any taxes apply to any Transactions conducted through the Services, and to withhold, collect, report and remit the correct amount of taxes to the appropriate tax authorities. 


6.4.2. Display

The fees mentioned in this clause 6 may be displayed in one aggregated Transaction fee. For detailed information on the fees please refer to our Pricing Policy.


7.  USER OBLIGATIONS AND PROHIBITED CONDUCT

7.1  General obligations

By using the Wallet you agree to:

  • comply with all Applicable Laws in connection with your use of the Wallet and any Transaction;

  • use the Wallet solely for lawful purposes and not on behalf of any third party;

  • keep your Private Key, Private Key Shard and device credentials secure and confidential;

  • verify all Transaction details before broadcast;

  • pay all applicable Fees including Gas Fees and third-party fees; and

  • promptly notify Vavo of any suspected security breach, unauthorised access or compromise of your Wallet.

  • comply with the technical instructions and security measures required by Vavo or its authorised representatives for use of Services.

7.2  Prohibited conduct

You agree not to:

  • use the Wallet to engage in criminal activities of any sort including but not limited to money laundering, terrorist financing, sanction evasion, tax evasion, fraud, market manipulation or any other criminal, unlawful or illegal activity;

  • engage in an activity which (i) would violate, or assist in violation of, any directive, law, guideline or other regulation related to sanctions programs administered in the countries where Vavo or any of its Affiliates conducts business, including but not limited to the EU Sanctions list; (ii) would violate, or assist in violation of, any directive, law, guideline or other regulation related to money laundering as applicable in the countries where Vavo or any of its Affiliates conducts business; (iii) would be related to fraud such as activities which operate to defraud Vavo (including Users providing any false, inaccurate, or misleading information to Vavo), User and/or other persons; (iv) would be related to drugs such as sale of narcotics, controlled substances, and any equipment designed for making or using drug; (v) would be related to multi-level marketing such as pyramid schemes and network marketing; (vi) in Vavo’s reasonable view, would be related to unfair, predatory or deceptive practices such as investment opportunities or other services that promise (too) high rewards and sites that in Vavo’ s reasonable opinion would be unfair, deceptive, or predatory towards Users (vii) which would be related to illegal gambling such as unregulated lotteries, sports forecasting or odds making and comparable activities.

  • use the Wallet in connection with Crypto-Assets that are the proceeds of criminal activity or acquired through illicit means;

  • attempt to circumvent any access controls, security measures or geographic restrictions implemented in the Wallet;

  • reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Wallet;

  • interfere with or disrupt the operation of the Wallet, any Third-Party Service or any Blockchain network;

  • use the Wallet to transmit malicious code, viruses, spam or other harmful content; or

  • impersonate Vavo or any other person in connection with your use of the Wallet.

In addition to the above, Vavo reserves the right to determine, in its reasonable discretion and in accordance with Applicable Law and internal risk policies, whether any activity constitutes prohibited conduct, including where such activity presents heightened legal, regulatory, fraud or financial crime risk.

8.  RISK DISCLOSURES

The Wallet is a non-custodial wallet. You are solely responsible for all actions and Transactions performed using the Wallet, including transfers, swaps, approvals, and interactions with third-party protocols and tokens. Vavo does not execute Transactions on your behalf and is not responsible for any losses arising from your use of the Wallet. All Transactions are final and irreversible.

You acknowledge and accept the following risks, which are not exhaustive:

  1. Market Risk: Crypto-Asset prices are highly volatile. The value of your Crypto-Assets may decrease significantly or become zero. You may lose the entire value of any Crypto-Assets held in your Wallet. You are solely responsible for all investment and trading decisions made using the Wallet, including decisions to buy, sell, hold, or swap Crypto-Assets and to select trading routes.

  2. Technology Risk: Blockchain networks can experience congestion, outages, delayed finality, forks, or protocol upgrades. These conditions may cause a Transaction to be delayed, fail, execute unexpectedly, or become more expensive. Transactions may also execute under different conditions than expected (e.g. slippage when executing trades, MEV/front-running of your transactions, price impact when executing trades), meaning you may receive materially less than quoted. You are responsible for verifying transaction details before signing.

  3. Process Risk: All confirmed blockchain transactions are irreversible. If you send to the wrong address; send on the wrong network; choose an incompatible token contract; enter the wrong amount, or approve the wrong action, your assets may be permanently lost. Vavo cannot reverse or recover transactions. You are solely responsible for the accuracy of what blockchain transaction you sign and submit.

  4. Information & Cyber Security Risk: You are solely responsible for protecting your Wallet access credentials (e.g., private key or shards thereof), passkeys, device security). Loss, exposure, theft, or compromise of these can result in permanent and irrecoverable loss of your Crypto-Assets. You may be targeted by phishing, malware, SIM swap, device compromise; impersonation scams (e.g., someone pretending to be Vavo support); tricking you into exporting your seed/private key or signing malicious transactions. If you are tricked into signing or authorizing a transaction, Crypto-Assets can be stolen and are generally not recoverable. Vavo does not guarantee the security of your device, accounts, or internet connection.

  5. External Fraud Risk: Decentralized finance can expose you to scams and malicious projects, including: honeypot Crypto-Assets (you can buy but cannot sell the Crypto-Asset), “tax” or fee-on-transfer Crypto-Assets with extreme fees, fake or spoofed Crypto-Asset contracts, rug pulls and manipulated liquidity pools, Crypto-Assets that display misleading value based on unreliable liquidity and price signals. You may also be asked to grant token approvals (including unlimited approvals). If you approve a malicious smart contract or spender, your Crypto-Assets may be drained without further confirmation. You are solely responsible for verifying Crypto-Assets, Smart Contracts, Crypto-Asset approvals, and risks before proceeding.

  6. Third Party Risk: You and your Wallet may interact with or be dependent on third-party services (e.g. wallet infrastructure provider, decentralized exchange protocols, decentralized applications, decentralized aggregators, gas sponsorship providers, Remote Procedure Call (RPC) providers, on & off-ramps, and technology development providers). These third parties may experience outages, degraded performance, inaccurate data, compromised infrastructure, information security or governance attacks, or unexpected behavior. Their technology and smart contracts may contain bugs, vulnerabilities, or exploits leading to partial or total loss of your Crypto-Assets. Vavo does not control these third parties and is not responsible for losses caused by them. 

  7. Regulatory Compliance Risk: Crypto-Asset regulation is evolving and can change quickly. Future laws, supervisory expectations, sanctions, or policy changes may restrict or prohibit: your ability to access certain tokens, protocols, or networks; availability of certain services (e.g., Decentralized Exchange protocols, decentralized Apps, decentralized aggregators, Remote Procedure Call (RPC) providers, on & off-ramps), access from certain jurisdictions. This may affect your ability to use features of the Wallet or access certain Crypto-Assets. You remain responsible for complying with applicable laws and restrictions.

  8. Financial Crime Risk: By using a non-custodial wallet, you may unintentionally interact with addresses or assets linked to illicit activity (fraud, scams, sanctions exposure). This can have consequences, including restrictions or enhanced checks when moving Crypto-Assets between the Wallet and external wallets. You are responsible for ensuring your activity is lawful and not in breach of sanctions or financial crime rules.

  9. Liquidity Risk: Crypto-Assets may have limited liquidity or fragile liquidity pools. You may be unable to swap at your desired price, or at all, especially during volatility, network congestion, or when liquidity pools are manipulated. Low liquidity can also increase slippage and price execution risk. You are solely responsible for assessing whether sufficient liquidity exists before you trade, including the impact of slippage, price impact, spreads, and fees.

  10. In rare instances, certain crypto-assets may qualify as regulated financial instruments. Because we cannot technically restrict access to these specific assets or the Third-Party Services (including DEXs) that support them, you are prohibited from trading, transferring and holding them. These assets carry substantial risk, may not be suitable for you, and could result in the total loss of your investment.

9.  WARRANTIES AND DISCLAIMER

THE WALLET AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VAVO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, UNINTERRUPTED OR ERROR-FREE OPERATION, SECURITY OR FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Vavo DOES NOT WARRANT THAT: (I) THE WALLET WILL MEET YOUR REQUIREMENTS; (II) ANY TRANSACTION WILL BE EXECUTED, CONFIRMED OR COMPLETED; (III) ANY DATA DISPLAYED IN THE WALLET IS ACCURATE, COMPLETE OR UP TO DATE; OR (IV) ANY DEFECT IN THE WALLET WILL BE CORRECTED.


10.  LIMITATION OF LIABILITY

10.1. Limitation of Liability 

Vavo is not liable for any damage in connection to the Services, except if (i) such damages directly result from our failure to perform the obligations under these Terms and (ii) is a result of wilful intent or gross negligence on the part of Vavo. In addition, Vavo is not liable for any damages:

A. resulting from actions by the User in breach of these Terms;

B. resulting from actions by User that fall under User’s sole responsibility, including but not limited to User transferring Crypto-Assets to a scam or otherwise fraudulent third party;

C. resulting from a temporary inaccessibility, malfunctioning or suspension of (a part of) the Wallet and the Services, including, but not limited to (i) damages resulting from the impossibility to deposit, withdraw or trade in Crypto-Assets, (ii) damages resulting from the impossibility to log in to Wallet or use the Services, (iii) damages resulting from inability to execute a Transaction;

D. resulting from a Force Majeure Event;

E. resulting from compliance with applicable law;

F. resulting from any (i) computer viruses, spyware, Trojan horses or other malware that may affect User’s computer or other equipment or (ii) SMS, email services and two factor authentication services which may be vulnerable to spoofing and phishing attack; 

G. resulting from the actions or omissions of a third party.

10.2  Exclusion of indirect loss

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Vavo AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, HOWSOEVER ARISING, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION OR LOSS OF CRYPTO-ASSETS.

10.3  Aggregate cap

VAVO'S TOTAL AGGREGATE LIABILITY TO YOU UNDER OR IN CONNECTION WITH THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT OF ANY SERVICE FEES PAID BY YOU TO VAVO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.  INDEMNIFICATION

You agree to indemnify, defend and hold harmless Vavo, its Affiliates, and their respective directors, officers, employees, agents and licensors from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or relating to:

  • your breach of these Terms or any Applicable Law;

  • any Transaction initiated by you;

  • any third-party claim arising from your use of the Wallet; or

  • any misrepresentation made by you in connection with your use of the Wallet or the Services.

12.  INTELLECTUAL PROPERTY

All intellectual property rights in and to the Wallet, including its source code, design, trademarks, trade names and documentation, are owned by or licensed to Vavo. Nothing in these Terms grants you any ownership or licence over Vavo’s or its Affiliate’s intellectual property other than a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Wallet solely for the purposes set out in these Terms.You are prohibited from copying, modifying, distributing, selling, sub-licensing, reverse engineering, decompiling or otherwise exploiting any part of the Wallet without Vavo's prior written consent.

13.  DATA PROTECTION AND PRIVACY

Vavo processes personal data in accordance with its Privacy Notice. By using the Wallet, you acknowledge that you have read the Privacy Notice.

14.  CONFIDENTIALITY

User may receive or otherwise become aware of information relating to Vavo, its Affiliates or the Services that is not known to the general public. User hereby agrees to only use such confidential information insofar this is necessary to use the Services and agrees not to disclose any of this confidential information to any third parties, unless expressly permitted in writing by Vavo to do so. If User is obliged by applicable statutory law or expressly directed to do so by a competent court, User may disclose the relevant confidential information. In such case,User shall immediately notify Vavo hereof and limit such disclosure to what is required or allowed by the applicable law. All confidential information will remain property of Vavo.

15. TERM AND TERMINATION

15.1. These Terms apply from the date on which you first access or use the Wallet and continue until terminated.

15.2. You may cease using the Wallet and terminate these Terms at any time. You are responsible for transferring your Crypto-Assets to another wallet of your choosing before ceasing use of the Wallet.

15.3. Vavo may terminate these Terms:

(i) at any time, for compliance reasons, for breach of these Terms including engaging in prohibited practices, breach of applicable laws upon request of competent authorities, for risk management purposes or ensuring orderly functioning of the Wallet ; or

(ii) at any time for any reason or without any reason, upon 1 month notice;or

(iii) at any time your agreement with Bitvavo B.V. is terminated.

15.4. Vavo may suspend, block or terminate your access to the Wallet at any time, with or without cause and with or without notice, including where Vavo reasonably determines that you are in breach of these Terms or are using the Wallet in violation of Applicable Law. 

15.5.Suspension or termination does not affect your ownership of your Crypto-Assets, which you may access directly on the applicable Blockchain using your Private Key. Clauses 3,5,6,7,9,10,11,12,13,14,17,18 survive any termination of these Terms.

16.  AMENDMENTS

16.1. Vavo reserves the right to modify these Terms. Vavo will give the User at least 1 month prior notice of such changes, unless these Terms indicate otherwise.

16.2. Material amendments will be communicated to you by means of an in-app notification or email (where you have provided an email address). You may find the most recent version of these Terms on our website.

16.3. Without prejudice to Clause 15 and notwithstanding Clause 16.1. above, Vavo in its sole discretion, for any reason and without liability to User modify, discontinue or terminate, temporarily or permanently, part or all of its Services. 

16.4. Your continued use of the Wallet after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you must cease using the Wallet.

17.  GOVERNING LAW AND DISPUTE RESOLUTION

17.1  Governing law and Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with laws of the Netherlands without regard to its conflict of law rules. Any dispute arising out of or in connection with these Terms shall be referred to competent courts of the Netherlands,without prejudice to the right of Vavo to commence proceedings against User at its place of residence or habitual abode.

17.2  Informal resolution

Before initiating any formal dispute resolution process, you agree to contact Vavo via [email protected] and to make a good-faith effort to resolve the dispute informally. Vavo will endeavour to respond within 30 business days.

18.  GENERAL PROVISIONS

  1. Entire agreement. These Terms, together with the Privacy Notice and any supplemental terms applicable to specific features, constitute the entire agreement between you and Vavo relating to the Wallet and supersede all prior agreements, representations or understandings.

  2. Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

  3. No waiver. Vavo’s failure to enforce any provision of these Terms shall not be construed as a waiver of its right to do so in the future.

  4. No agency or partnership. Nothing in these Terms creates any agency, partnership, joint venture or employment relationship between you and Vavo.

  5. Assignment. You may not assign or transfer any of your rights or obligations under these Terms without Vavo’s prior written consent. Vavo may assign these Terms freely, including in connection with a merger, acquisition or sale of assets, provided that Vavo will notify you of such assignment.

  6. Force majeure Event. Vavo shall not be liable for any failure or delay in performance resulting from Force Majeure Event. For the purposes of these Terms Force Majeure Event means an event or circumstance which is beyond the reasonable control of Vavo or Affiliates, is not foreseeable, and the effects of which are not capable of being overcome by the exercise of due diligence. Without limiting the generality of the foregoing, Force Majeure Events shall include, but not be limited to, the following: (a) Acts of God and Natural Disasters: Earthquakes, floods, fires, volcanic eruptions, tsunamis, hurricanes, and other catastrophic natural events. b) War and Civil Unrest: Acts of war (declared or undeclared), hostilities, invasion, rebellion, revolution, insurrection, riots, civil commotions, acts of terrorism, or widespread civil disturbances. (c) Government and Legal Actions: Actions by government authorities, including but not limited to, new laws, regulations, decrees, orders, or sanctions that prohibit, restrict, or otherwise make it commercially or legally impossible for Vavo to operate or for Users to access the Wallet. (d) Systemic Technological Failures: A failure of a major blockchain network, a widespread and sustained failure of the public internet, or a failure of the global telecommunications infrastructure that directly impacts Vavo’s ability to operate. (e) Widespread Cyber-Attacks: A cyber-attack of a scale, nature, and sophistication that overwhelms and renders Vavo’s security systems and technical infrastructure inoperable, despite commercially reasonable efforts to mitigate such attacks.

  7. Language. These Terms are issued in English. In the event of any conflict between an English version and any translated version, the English version shall prevail.
